1. Introduction
   These Terms and Conditions (“Terms”) govern the use of products and services provided by Reon Capital (Pty) Ltd Trading As Zuba (“Zuba,” “we,” “us,” “our”). By engaging with our services or purchasing our products, you (“the Client”) agree to abide by these Terms.

2. Scope of Services
   Zuba provides digital transformation strategy, software platforms, mobile applications, ticketing engines, content management systems, data analytics solutions, and fan engagement products for the sports and entertainment industry. All services are delivered subject to a signed contract between Zuba and the Client.

3. Intellectual Property
   Unless otherwise agreed in writing, all intellectual property developed, customized, or delivered by Zuba, including source code, designs, data models, and documentation, shall remain the sole property of Zuba. The Client is granted a non-exclusive, non-transferable license to use Zuba products and services solely for the agreed term and purpose outlined in the contract.

4. Client Responsibilities
   The Client agrees to:
   • Provide accurate, timely, and complete information as reasonably required for Zuba to deliver services.
   • Use Zuba’s systems and services for lawful purposes only.
   • Abide by any security, data privacy, and acceptable use requirements.

5. Fees and Payment
   • All fees are payable in accordance with the executed contract or agreement.
   • Payments are due within the timeframes set out in the contract or invoice.
   • Zuba reserves the right to suspend or terminate services for non-payment.

6. Limitation of Liability
   Zuba shall not be liable for any indirect, consequential, or incidental damages arising from the use or inability to use its products or services. Zuba’s total liability shall be limited to the fees paid by the Client in the 3 months preceding the claim.

7. Amendments
   Zuba reserves the right to amend these Terms from time to time. Clients will be notified of any material changes via email or via our website. Continued use of our services constitutes acceptance of the updated Terms.

8. Governing Law
   These Terms shall be governed by and interpreted in accordance with the laws of Botswana, and any disputes arising shall be subject to the exclusive jurisdiction of the courts of Botswana.
